Please read these Terms of Service (the “Terms”) carefully because they govern your use of the website located at https://chimi.finance/ (the “Site”) and the decentralized‑finance services accessible via the Site and the corresponding mobile or desktop application (collectively, the “App”) offered by Chimi Labs Ltd. (the “Company,” “we,” “us,” or “our”). The App provides access to various Defi Protocols, which we do not own or control (the “Protocol”).
The Protocol is a community‑driven set of blockchain‑based smart contracts and tools that enable users to interact with certain decentralised‑finance protocols that the Company does not control. For convenience, the Site, App and our related services are referred to collectively as the “Interface.”
1. Agreement to Terms
By using our Interface you agree to be bound by these Terms. If you do not agree, you must not use the Interface. Some jurisdictions limit certain contractual provisions (e.g., indemnities or exclusions of warranties). Such provisions apply only to the maximum extent permitted by the laws of those jurisdictions. These Terms do not prejudice any additional statutory rights you may have as a consumer.
2. Changes to these Terms or the Interface
We may update these Terms at any time in our sole discretion. If we do, we will post the updated Terms on the Interface and may send other communications. Your continued use of the Interface after posting means you accept the changes. If you do not agree to the updated Terms, you must stop using the Interface. Because the Interface evolves over time, we may change or discontinue all or part of it at any time without notice.
3. Who May Use the Interface?
You may use the Interface only if you are at least 18 years of age (or such other minimum age for valid consent in your territory) and are not otherwise barred from using the Interface under applicable law. We reserve the right to block access from certain IP addresses or device identifiers to protect the integrity of the Interface.
For these Terms, “Restricted Territory” means Algeria, Bangladesh, Bolivia, Belarus, Burundi, Burma (Myanmar), Côte d’Ivoire, Crimea & Sevastopol, Cuba, Democratic Republic of Congo, Ecuador, Iran, Iraq, Liberia, Libya, Mali, Morocco, Nepal, North Korea, Somalia, Sudan, Syria, Venezuela, Yemen, Zimbabwe, or any other country to which Canada, Panama, the United States, the United Kingdom, the European Union, or the Cayman Islands embargo goods or imposes similar sanctions.
4. About the Interface
a. Interface
The Interface provides users with access to the Protocol—which is fully decentralised, non‑custodial, and community‑governed—and offers information about the Company’s ecosystem, governance, community and integrations. All information is provided for informational purposes only. You should not take, or refrain from taking, any action based on information presented via the Interface without seeking independent professional advice.
b. Our Relationship
Chimi Labs Ltd. is an online platform provider, not a broker‑dealer, lender, or custodian. We do not direct or control the day‑to‑day activities of users. We do not store, send, or receive crypto‑assets on your behalf; we have no access to, or control over, your private keys. You bear sole responsibility for securing your private keys and for all activities you undertake when interacting with blockchain smart contracts.
c. Fees
Blockchain transactions require payment of gas fees, which are non‑refundable. You are solely responsible for all on‑chain fees.
d. Points Programme
We may offer promotions or rewards programmes from time to time (each, a “Points Programme”). We reserve the right to modify or terminate any Points Programme at any time, which may result in the cancellation of unredeemed rewards or points. Additional terms will apply to each Points Programme.
e. Communications
You may elect to receive communications from us. We are not obligated to send, and will not be liable for failure to send, such communications.
f. Disputes Between Users
The Company is not a party to any transaction between users. You release us and our affiliates from any and all claims arising out of disputes between you and other users.
g. Regulatory & Compliance Suspensions
We may suspend or terminate your access to the Interface to comply with applicable law or if we believe you are violating these Terms.
5. Intellectual Property
5.1 Ownership
We exclusively own all right, title and interest in and to the Interface and its content, subject to copyright and other laws.
5.2 Licence
Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Interface for non‑commercial purposes.
5.3 Eligibility Criteria for Points & Airdrops
Points Programmes and any airdrops of the CHIMI token (the “Airdrop”) are open only to participants over 18 who are not Restricted Persons and meet any additional criteria we specify. By participating in an Airdrop you agree to pay any applicable gas fees and all taxes arising from your participation.
6. Feedback
If you provide us with feedback, you grant us an unrestricted right to use it for any purpose without compensation to you.
7. General Prohibitions & Enforcement Rights
You agree not to:
- Post or transmit content that is unlawful, infringing, deceptive, defamatory, obscene, or otherwise objectionable.
- Use, display, mirror or frame the Interface or any Company trademark without our express written consent.
- Access non‑public areas of the Interface or our systems.
- Probe or test the vulnerability of any system or network.
- Circumvent security or authentication measures.
- Use automated systems (e.g., spiders, robots) to access the Interface.
- Send unsolicited advertising or spam.
- Use hidden metadata referencing Company marks without consent.
- Use the Interface for any commercial purpose not permitted by these Terms.
- Forge headers or otherwise send altered source‑identifying information.
- Reverse engineer any software used to provide the Interface.
- Interfere with or disrupt any user or network (e.g., via viruses, flooding, mail‑bombing).
- Collect personal data from the Interface without permission.
- Impersonate any person or entity or misrepresent your affiliation.
- Use CHIMI tokens for capital‑raising purposes.
- Engage in market manipulation or any illegal activity.
- Encourage or enable anyone else to do any of the above.
We are not obligated to monitor the Interface but may do so and may remove or disable content or your access at any time.
8. No Fiduciary Duties
The Interface is not intended to create fiduciary duties, and we expressly disclaim any such duties to the fullest extent permitted by law.
9. Copyright Policy
We respect copyright law and will terminate access for repeat infringers where appropriate.
10. Links to Third‑Party Websites or Resources
We are not responsible for the content, products, or services on third‑party sites and you assume all risk arising from your use of them.
11. Termination
We may suspend or terminate your access at any time. You may cancel your access by emailing support@chimi.finance. Sections 5–8, 11–17 will survive any termination.
12. Warranty Disclaimers
THE INTERFACE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE INTERFACE WILL BE UNINTERRUPTED OR ERROR‑FREE.
13. Indemnity
You will indemnify and hold harmless the Company and its officers, directors, employees and agents from any claims, losses or liabilities arising from your use of the Interface or breach of these Terms.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR ITS SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY WILL NOT EXCEED USD 100 OR THE AMOUNT YOU PAID US FOR THE SERVICES (IF ANY).
15. Governing Law & Forum Choice
These Terms are governed by the laws of the Cayman Islands, without regard to conflict‑of‑law rules. Unless otherwise required by law, any non‑arbitrable dispute must be brought exclusively in the courts of George Town, Cayman Islands.
16. Dispute Resolution
a. Mandatory Arbitration
Any dispute arising out of or relating to these Terms or the Interface will be resolved by binding individual arbitration under the rules of the Cayman International Mediation & Arbitration Centre (CI‑MAC). You and the Company waive any right to a jury trial or to participate in a class action.

17. General Terms
- Reservation of Rights — The Company and its licensors retain all intellectual‑property rights in the Interface.
- Entire Agreement — These Terms constitute the entire agreement between you and the Company regarding the Interface.
- Assignment — You may not assign these Terms without our prior written consent; we may assign them freely.
- Notices — We may provide notices via email or by posting to the Interface. Email notices to you are deemed received when sent.
- Waiver — Our failure to enforce any provision will not constitute a waiver.
